    Cengage Public Speaking Video Contest
    Official Rules


    Cengage Learning, Inc. (“Cengage”) is a leading provider of innovative teaching, learning and research solutions for the academic, professional and library markets worldwide. Cengage’s products and services are designed to foster academic excellence and professional development, increase student engagement, improve learning outcomes and deliver authoritative information to people whenever and wherever they need it.

    Cengage is conducting the Public Speaking Speech Video Contest (the “Contest”) as a way to provide students with real-world examples of excellent speeches. In addition to the eligibility requirements set forth below, each participant in the Contest must be currently enrolled in a public speaking course (the “Course”) at a public or private 2-year or 4-year college or university (each, a “Participant”). Each Participant must submit a video, in English and otherwise consistent with these contest rules (the “Video Entry”), of themselves speaking in a manner intending to inform, influence, persuade and/or entertain a listening audience. In the alternative, the instructor of the Participant’s Course (“Instructor”) may submit the Video Entry solely on behalf of the Participant provided the Instructor has obtained such Participant’s written consent. Instructor and/or Participant may hereafter be referred to as “Entrant” or “Entrants”.


    The Contest is open to Entrants who are legal residents of the fifty (50) United States and the District of Columbia, except where prohibited by law, and specifically excluding Puerto Rico and the remaining territories, possessions and/or dependencies of the United States. Entrants must be 18-years of age or older to enter. Verification of Entrant age may be required of each Entrant. Employees, directors, officers and agents of Cengage and its affiliates and members of the immediate families (parent, child, sibling and spouse of each) or households of its employees, directors, officers and agents are prohibited from entering the Contest. No purchase is necessary to enter the Contest. Each Entrant must have had on-line access to the Internet prior to the Start Date (as defined below). This Contest and each Entrant’s eligibility to enter are subject to all applicable federal, state and local laws. Cengage reserves the right to cancel the Contest at any time without naming a winner. 


    The Contest begins at midnight (EST) on Wednesday, April 1, 2015 (the “Start Date”). Video Entries must be received by midnight (EST) no later than Friday, May, 29, 2015 (the “Entry Period”). Judging of Video Entries will begin at midnight (EST) on Monday, June 1, 2015. 


    To enter the Contest an Entrant must submit a video to Vimeo.com (“Vimeo”) in accordance with these rules and Vimeo’s terms of use. 

    Step 1: Upload Entrant’s Video to Vimeo 
    If Entrant does not already have one, create a Basic Account on Vimeo. Upload Entrant’s video. Title Entrant’s video with student’s name and type of speech. Tag Entrant’s video as "Cengage Learning Speech Video” (View Vimeo’s instructions on tagging videos) In the "Privacy" tab, ensure all settings are set to "Anyone" and "Anywhere." Under "What can people do with this video?", click "Download the video" and "Add to their collections." Hit "Save Changes" at the bottom of the screen. Keep the URLs and titles of videos on hand to complete the entry form.

    Step 2: Submit Entrant’s Entry to the Contest Homepage 
    After uploading Entrant’s video to Vimeo, submit Entrant’s entry here (for instructor Entrants) or here (for student Entrants). Entrant will need the video URL from Step 2 above. All Entrants must complete the electronic waiver linked at the bottom of the entry form.

    Cengage shall have no liability to any Entrant resulting from faulty email transmission, lost email or email that are not received. Cengage will not confirm receipt of any Contest entries.


    Each Video Entry must satisfy the following requirements.

    Video Length

    • Minimum:    1 Minute
    • Maximum: 10 Minutes


    Video Format

    Any video format as long as the video can be submitted to Vimeo

    Video Content/Subject

    We suggest that each Video Entry begins with the Participant introducing himself or herself, including his or her name, school and state.

    The Participant should then give a speech on any topic, as long as not inappropriate, indecent or obscene as determined by Cengage in its sole discretion, in a manner tending to inform, influence and/or entertain.

    The Video Entry should not include (i) any on-camera participation by any third party other than Participant; or (ii) any music that requires clearance prior to its use; or (iii) any inappropriate, obscene or indecent content as determined by Cengage in its sole discretion. Cengage hereby reserves the right to delete any and all music tracks, in its sole discretion, from any Video Entry. Any Video Entry that does not satisfy all of the requirements set forth in these rules will not be considered in judging the Contest, even if it is submitted and uploaded during the Entry Period, and will not be eligible for the prize to be awarded.


    Each eligible Participant may submit only one (1) Video Entry; provided that, each Instructor may submit multiple Video Entries on behalf of multiple eligible Participants. Once a Video Entry is submitted, Entrant may not edit it.


    By submitting a Video Entry, Participant represents and warrants that he or she is the sole author and creator, and the sole owner of all copyright(s) and all other intellectual property rights in and to the Video Entry submitted. Each Participant further represents and warrants (i) that his or her Video Entry does not infringe on the copyright, right of publicity, privacy rights or any other intellectual property or other right of any other person or entity, (ii) that Participant has secured any and all waivers and permissions necessary with respect to persons and subject matter in the Video Entry, and (iii) that Participant has not submitted the Video Entry to any other contest. By submitting a Video Entry on behalf of a Participant, Instructor represents and warrants that he or she has obtained from the applicable Participant written representations from the Participant consistent with (i), (ii) and (iii) above and further represents and warrants that Instructor (a) has not submitted the Video Entry to any other contest, and (b) has all of the rights necessary to grant the rights and licenses to the Video Entry set forth in these rules. If the ownership of any Video Entry is contested in any manner, Cengage may disqualify that Video Entry, in its sole discretion. By submitting a Video Entry, Entrant agrees to defend, indemnify and hold harmless Cengage, its affiliates, and its and their respective officers, directors, employees, agents and representatives in connection with any claims and/or liabilities arising out of Entrant’s breach of these Official Rules and/or Entrant’s representations and warranties made hereunder.


    Participant shall retain the copyright to Participant’s Video Entry and all other rights thereto. By entering the Contest, Entrant grants to Cengage and each of Cengage’s affiliates, a worldwide, perpetual, royalty free, non-exclusive, assignable, sublicensable, irrevocable right and license to use, copy, modify, adapt, distribute, publish, display, exhibit, and otherwise exploit in any media, by any means, methods and technologies now known or hereafter to become known, either in whole or in part, each Video Entry, for commercial, promotional and/or business purposes, including, but not limited to, use in educational, advertising, and marketing materials, including, without limitation, inclusion in Cengage’s courses. Entrant (for himself or herself and on behalf of Participant) hereby waives any and all rights over the use, distribution, transfer, display, or other exploitation of the Video Entry by Cengage and/or any of Cengage’s affiliates, in whole or in part, including, without, limitation, any right to inspect and/or approve such use, distribution, transfer, display, or other exploitation. Except to the extent that Entrant is awarded a prize in accordance with these Official Rules, Entrant acknowledges that Entrant shall not be entitled to receive any fee or other form of cash compensation for the rights granted in this paragraph. Entrants agree that neither Cengage, its affiliates, nor any of their respective officers, directors, employees, agents or representatives will be liable to Entrant or to any third party for any use of any Video Entry in accordance with these Official Rules. 


    Cengage and its affiliates may use, record reproduce, publish, display, perform, translate, and distribute, the names, likeness, voices, quotations, opinions and biographical information of Entrant, including, without limitation, any photograph or recording for any business and/or promotional purposes in any media, worldwide, without further payment or consideration, for any business and/or promotional purpose in any media, worldwide, and/or for any other commercial or non-commercial corporate purpose, including, without limitation, inclusion in Cengage courses, use on merchandise or for marketing, without attribution or further payment or compensation to the Entrant, his or her successors or assigns or any other entity. Entrant hereby irrevocably consents to all such uses.


    Selection of the Winner 

    Entries will be judged by a panel of independent judges designated by Cengage (the “Judging Panel”), based on the following criteria: 


    • Clarity
    • Creativity
    • Compliance with these Official Rules


    (collectively, the “Criteria”)

    Based on the Criteria, the Judging Panel will select four (4) grand prize winners (“Grand Prize Winners”) and six (6) runners-up (“Runners-up”). The Judging Panel’s decision will be final. The Grand Prize Winners and the Runners-up shall be referred to individually as, a “Winner”, and collectively as, the “Winners”.  

    Participant Prizes

    Cengage will award prizes as follows:


    1. Each of the Grand Prize Winners will receive a $500.00 scholarship*
    2. Each of the Runners-up will receive a $250.00 scholarship*
    3. Each of the Winners will receive an official Cengage Learning Outstanding Student Speaker certificate


    *Scholarship will be in the form of a check payable to the winning Participant. Prizes are non-transferable and only one (1) prize may be awarded per Participant. Total cash value of the prizes will not exceed Five Thousand and 00/100 United States Dollars (US$5,000.00). 

    Notification of Winner

    TThe Winners will be notified of his or her prize by mail, telephone or email on or about Tuesday, June 30, 2015 and will be required to sign an affidavit of eligibility, a liability and publicity release, and such other documentation as Cengage may require within ten (10) days of notification. If a Winner does not return all required documentation within such ten (10) day period, Cengage may withdraw the prize from such Winner and re-assign such prize,. By entering the Contest each Entrant agrees to waive his or her right to any prize in the event that they do not claim the prize within the period set forth herein.

    Entry in the Contest constitutes permission to use any of the Winners’ names and likenesses for publicity purposes, without further compensation, where permitted.

    At the end of the Contest, visit http://solutions.cengage.com/SpeechContest/ to see the names of the Winners.

    For a list of Winners, please send a self-addressed stamped envelope to Cengage Learning, Inc., at 20 Channel Center, Boston, MA 02210 ATTN: Nicole Morinon. Each Winner consents to the disclosure of his or her name and city and state of residence to anyone who requests a list of Winners under this section..


    By entering or participating in the Contest, each Entrant agrees to be bound by these Official Rules.

    Cengage assumes no responsibility for electronic, hardware, programming or software malfunctions, or failures, internet of network connections, accessibility or availability, technical failures of any kind, unauthorized human intervention, the incorrect or inaccurate capture of any Video Entry or other information, or for the failure to capture any such information. Cengage is not responsible for: (1) any incorrect or inaccurate information, whether caused by you or other Entrants, or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to, malfunctions, interruptions, or disconnections in phone lines, cable lines, or network connections or hardware or software; (3) unauthorized human intervention in any part of the Video Entry process or the Contest; (4) technical or human error, which may occur in the administration of the Contest or the processing of any Video Entry; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in the Contest or receipt or use or misuse of any prize. Cengage is not responsible for lost, late, illegible, misdirected, mutilated, incomplete or postage due mail.

    Proof of submission is not proof of receipt of a Video Entry by Cengage. Cengage is not responsible for late, incomplete, incomprehensible, invalid technically incompatible or corrupt, or misdirected email, all of which are void. Cengage is not responsible for damage to any Video Entry that occurs during the process of uploading or storage and makes no warranties as to the integrity, availability or functionality of any systems at the time of Video Entry or at any time.

    Cengage reserves the right at its sole discretion to disqualify any Entrant it finds to be tampering with the entry process, operation of the Contest, or acting in violation of the Official Rules in an unsportsmanlike or disruptive manner.

    If, for any reason, the Contest is not capable of running, as planned, by reason of infection by virus, worms, tampering, or other unauthorized technical or human intervention, fraud, technical or mechanical failures, or any other causes which, in the sole evaluation of Cengage, may compromise the administration, security, fairness or integrity of this Contest, Cengage reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Contest, and select the Winners of the Contest, from the Video Entries received prior to the action taken, or in other such manner as deemed fair and appropriate by Cengage, as allowed by law.

    Entrants, by participating in this Contest, hereby waive and release, and agree to hold harmless Cengage, its promotions and advertising agencies, and their respective parents, subsidiaries, affiliates, distributors and all of their respective officers, directors, employees, representatives and agents, from and against, any and all rights, claims and causes of action whatsoever that they may have, or which may arise, against any of them for any liability, resulting injury or loss, including, but not limited to, any injury, loss, damage, whether direct, compensatory, incidental or consequential, to person, including death and property, arising in whole or in part, directly or indirectly, from their acceptance, possession, use or misuse of any prize in the Contest, or their participation in the Contest, or their participation in any Contest or prize related activity, or any travel related to the Contest or any travel for any prize related activity. Entrants also further acknowledges that Cengage, its affiliates, subsidiaries, employees, officers, directors, and promotions and advertising agencies have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, expressed or implied, in fact or in law relative to any prize or this Contest including, but not limited to, quality, condition or fitness for a particular purpose.

    Entrants are responsible for all applicable taxes and must sign an affidavit of eligibility and compliance with rules/release, and complete a W-9 form before prize can be received.


    The personal information collected through the Contest is subject to Cengage's privacy statement set forth at http://www.cengage.com/privacy.


    All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Entrant and Cengage in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than the State of New York. Any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, exclusively in the federal or state courts located in the County of New York, State of New York, and each Entrant consents to the exercise of personal jurisdiction over them by any such courts for purposes of any such action or proceeding. No Entrant will be permitted to obtain awards for, and each Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

    Each Entrant further agrees that any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys' fees.

    The terms of these Official Rules shall be binding on each Entrant, his/her legal representative, heirs, beneficiaries, executors, successors and/or assigns
